31texts,photos,andsoftware)isprotectedbycopyrights,trademarkrights,patents,andotherintellectualpropertyrightsaswellaslaws,andshallnotcopy,transmit,mail,publish,distribute,orotherwiseprovidetoathirdpartyforitsusebyanymeans,anyinformationwithouttheconsentoftheCompany.Article25(Commitment)①TheParticipantrepresentsthat,asoftheParticipantregistrationapplicationdate,Participantregistrationdate,andbiddingdateoftheAuctions,theParticipantandanyofitsofficersdonotfallunderanorganizedcrimegroup(Boryokudan),amemberofanorganizedcrimegroup(Boryokudanmember),personwhoisnolongeraBoryokudanmemberbutfiveyearshavenotyetelapsedfromhis/herendingBoryokudanmembership,Boryokudanassociate,Boryokudan-relatedcompany,Boryokudan-relatedassociation,corporateracketeer(Sokaiya),social/politicalorothermovementracketeer,specialintelligenceviolencegroup,orthosewhoareinasituationsimilartothese(hereinafter,collectivelyreferredtoas“Boryokudan”)anddonotfallunderanyofthefollowing,andcommitsthattheParticipantandanyofitsofficersshallnotfallunderanyoftheforegoingandthefollowinginthefuture:⑴ThosewhohaverelationshipswithaBoryokudanwhoisrecognizedtobecontrollingtheiroperations;⑵ThosewhohaverelationshipswithaBoryokudanwhoisrecognizedtobeinvolvedintheiroperationsinsubstance;⑶ThosewhohaverelationshipswhicharerecognizedtobewillfullyusingthethreatofaBoryokudanforthepurposeofgainingillegal②TheParticipantcommitsthatitshallnotengagein,oritshallnotuseanyofitsofficersorathirdpartytoengagein,anyactthatfallsunderanyofthefollowing:⑴Makingviolentdemands;⑵Makingunreasonabledemandsbeyondlegalresponsibilities;⑶UsingthreateningbehaviororviolenceintransactionswiththeCompany;⑷Takingactionswhichmaydamagethecredibilityof,orobstructthebusinessof,theCompanybyspreadingfalserumorsorusingArticle26(DeregistrationofParticipants)①TheCompanymayrefusetheregistrationofaParticipantorderegisteraParticipantifthesaidParticipantfallsunder,oriftheCompanyjudgesthatthesaidParticipantmayfallunder,anyofthefollowing.WhenaParticipantisderegistered,thesaidParticipantshall,inalumpsum,paytheentireamountofthedebtsitowestotheCompanyinconnectionwiththeAuctionsincludinganyfeesandsoforththathavearisenbeforethedateofderegistration,bythemethodinstructedbytheCompany.Inadditiontothefollowingitems,theCompanymayderegisteraParticipantwhohasnothadanytransactionintheAuctionsforaperiodofoneyear.⑴TheParticipantʼsregistrationapplicationincludesfalseorfictitiousinformation.⑵Theaddress,emailaddress,telephonenumber,facsimilenumber,orotherdetailssuppliedtotheCompanyisfalseorfictitious.⑶TheParticipanthasbeeninarrearsordefaultedontheperformanceofpaymentobligationsoffeesandsoforth.⑷AfactthatiscontrarytoParagraph1oftheprecedingArticleisdiscovered,ortheParticipantfallsunderanyoftheitemsinParagraph2②TheParticipantwhofallsunderanyoftheitemsintheprecedingParagraphmaynotparticipateinbidsorcompetitiveauctions,andshallberequiredtoimmediatelyleavethevenueoronlineauctions.AnybidmadebythesaidParticipantinbiddingorcompetitiveauctionsshallbeconsideredinvalid.③TheCompanymayrescindtheacceptanceofabidandcanceltheSale/PurchaseAgreementwithoutpriordemandandnoticeifthesuccessfulbidderfallsunderanyoftheitemsinParagraph1above.Inthiscase,theCompanymaydisposeoftheSoldMachineatitsdiscretion,andsuchsuccessfulbiddershallpaythesumof25%ofthehammerpriceoftheSoldMachineandthebiddingfeeasacancellationpenalty.profitsforthemselves,theircompany,orathirdparty,orforthepurposeofcausingdamagetoathirdparty;⑷ThosewhohaverelationshipswithaBoryokudanwhichshowthattheyareprovidingitwithfundsorotherbenefits;or⑸ThosewhohaverelationshipswithaBoryokudanthatareunacceptablebasedonsocialnorms.deceptiveplansorpower;or⑸Takingotheractsequivalenttoanyitemoftheabove.oftheprecedingArticle.⑸TheParticipanthasviolatedpropertiesorotherrightsofotherParticipants,athirdparty,ortheCompany.⑹TheParticipanthascauseddisadvantagesordamagetootherParticipants,athirdparty,ortheCompany.⑺TheParticipanthascolludedwith,hadcommercialnegotiationswith,orhasmadeasaletopurchasefromotherParticipantsorhastakenathreateningacttootherbidders.⑻TheParticipanthastakenanactionthatobstructstheoperationoftheAuctions.⑼TheParticipanthasusedorprovidedharmfulprogramsincludingacomputervirusthroughonlineauctionsortheauctionwebsite.⑽TheParticipanthastakenanactionthatdamagesthecredibilityoftheCompany.⑾TheParticipanthastakenanactionthattheCompanyjudgesinappropriate.⑿Otherwise,theParticipanthasbreachedtheAgreements,lawsorordinances.
