30acceptnotes,LetterofCredit(L/C),orothersimilarinstruments.③IfthesuccessfulbidderfailstomakepaymentwithintheduedateprescribedintheprecedingParagraph,thesuccessfulbiddershallberequiredtopaydelayedinterestattheannualrateof14.6%accruedfromthedayfollowingthepaymentduedatedescribedintheprecedingParagraphuntilpaymentisactuallymade.④ThesuccessfulbiddershallpayallnecessaryexpensesforcollectingandtransportingtheSoldMachinefromthedeliveryplaceorforitsstorage.IftheCompanystores,takesshippingprocedures,cleans,transports,orperformsothersimilarservicesfortheSoldMachineuponrequestfromthesuccessfulbidder,thesuccessfulbiddershallpayalltheexpensesinconnectionwiththeseservices.⑤AllSoldMachinesshallbesubjecttoabiddingfeeof10,000yenflatperlot.Article21(HandlingofSecurityDeposits)TheCompanyshallhandlethesecuritydepositsdepositedwithitinthefollowingmanner.⑴IfaParticipantwhohasdepositedasecuritydeposit(hereinafter,the“Depositor”)haswonabidfortheExhibitedMachine,thesecurityArticle22(DeliveryofSoldMachines)①UpontheperformanceofallthepaymentsprescribedinArticle20,Paragraphs2and3bythesuccessfulbidder,theownershipoftheSoldMachineshallbetransferredtothesuccessfulbidder,andthesuccessfulbiddershallbeallowedtocollecttheSoldMachinefromtheCompany.②AlltheSoldMachinesshallbedeliveronan“asis,whereis”basis.③ThesuccessfulbiddershallcollecttheSoldMachinewithinonemonthfromthedaywhentheAuctionends(orwithinthreeweeksincaseofonlineauctions).④IfthesuccessfulbidderfailstocollecttheSoldMachinebeforetheduedateprescribedintheprecedingParagraph,theCompanymaymovetheSoldMachinetodifferentlocationswithouttheconsentofthesuccessfulbidder.Inthiscase,theCompanyshallchargethesuccessfulbidder1,000yenperdayasastorageexpenseandanyadditionalcostsfortransfer,whichthesuccessfulbiddershallpaywithinthreebusinessdays(referringtothebankbusinessdays)fromtheissuedateoftherelevantinvoice.TheprovisionsofArticle20,Paragraph3hereinshallapplymutatismutandistoanydelayinmakingthispayment.⑤TheCompanyshallassumenoresponsibilityforanydeteriorationoftheSoldMachineduringstorageoranydamagetomachineryduetothepassageoftimeorchangeintheweather,aftertheacceptanceofthebid.Furthermore,theCompanyshallassumenoresponsibilityforanydelayorfailuretodelivertheSoldMachineduetoanactofprovidenceorotherreasonswherethereisnointentionalormaterialnegligenceonthepartoftheCompany.⑥ThesuccessfulbiddershallnotifytheCompanyinadvancebymailorfacsimiletransmissionthedateandtimeofdeliveryandthenameofthevendorwhowillcollecttheSoldMachine.TheCompanymayrefusetheremovaloftheSoldMachineifanypartyattemptstocollectitwithoutsuchnotificationfromthesuccessfulbiddertotheCompany.⑦IncollectingtheSoldMachine,thesuccessfulbiddershallcomplywithrelevantlaws,ordinancesandotherregulations,removetheSoldMachineinanappropriatemanner,anddriveandtransportitsafelywhentransportingit.Article23(PreventionofUnauthorizedResaleandUse)Thesuccessfulbiddershallcomplywiththefollowing:⑴ThesuccessfulbiddershallnotuseorallowathirdpartytousetheSoldMachineforthepurposeofdeveloping,designing,manufacturing,storing,andusingweaponsofmassdestructionsuchasnuclearweapons,chemicalweapons,biologicalweapons,ormissileweapons;formilitarypurposes;orotherwiseforthepurposeofobstructinginternationalpeaceandsecurity.Thisshallincludetheuseofsoftwareandsoftware-relatedtechnologies;Article24(CopyrightsandOtherRights)TheParticipantacceptsandagreesthatinformationprovidedbytheCompanyinconnectionwiththeAuctions(includingimages,sounds,depositshallbeusedtopaypartofanypaymenttotheCompanyincludingtheproceedsfortheSoldMachine.⑵IfaDepositorfailstowinabidforanyoftheExhibitedMachines,theCompanyshallreturnthesecuritydeposittotheDepositoruponconclusionoftheauction.⑶IfaParticipanthasbeenderegisteredbasedonitsownwillorbytheCompany,theCompanyshallreturntotheParticipant,withoutdelay,thefullamountofthesecuritydepositthesaidParticipanthaspaidlessanydebtsthesaidParticipantowestotheCompany.⑷Nointerestshallaccrueonsecuritydeposits.⑵Thesuccessfulbiddershallnotsell,assign,export,leaseortransfer,orpermittheuseoftheSoldMachinetoandbyanypartywhohasanyoftheabovepurposes,andshallnotallowathirdpartytodoanyoftheforegoing;⑶ThesuccessfulbiddershallcomplywiththeForeignExchangeandForeignTradeLawandotherapplicablelawsandordinanceswhenexporting,selling,ortransferringtheSoldMachine;and⑷Thesuccessfulbiddershallpayalltheexpenses(includinglawyersʼfees)incurredduetoitsfailuretoobservetheprovisionsofthisArticle.
