27【TozaiBoekiCo.,Ltd.AuctionAgreements】TheseAgreementsprescriberulesforparticipatinginandusingparadeauctions,tenderauctionsandonlineauctions(hereinafter,collectivelyreferredtoasthe“Auctions”)heldbyTozaiBoekiCo.,Ltd.(the“Company”).Article1(ScopeofApplication)TozaiBoekiCo.,Ltd.AuctionAgreements(the“Agreements”)shallapplytothepersons/corporationswhoareacceptedtoparticipateintheAuctionsandareregisteredasparticipants(hereinafter,the“Participants”orthe“Participant”)andwhentheParticipantstakepartintheAuctions.Article2(ChangetotheAgreements)TheCompanymaychangetheAgreementswithouttheconsentoftheParticipantbynotifyingtheParticipanttothateffectbythemethodtheCompanyjudgesappropriate.TheCompanyshallassumenoresponsibilityforanydamageincurredtotheParticipantasaresultofsuchchange.Article3(NoticesfromtheCompany)①TheCompanyshallgivenoticestotheParticipantasneededbyplacingpostsontheCompanyʼswebsite,sendingemailmessagesorfacsimiletransmissions,sendingdocuments,oranyothermethodstheCompanyjudgesappropriate.②ThenoticesintheprecedingParagraphshallbedeemedtohavetakeneffectatthetimetheCompanyplacedsuchnoticesonitswebsite,unlessotherwisespecificallystipulatedbytheCompany.IftheCompanygivesthenoticesintheprecedingParagraphbyemailorfacsimiletransmission,suchnoticesshallbedeemedtohavetakeneffectatthetimewhentheCompanysentsuchemailorfacsimiletransmission.Article4(PreparationofFacilities)TheParticipantshallprepareatitsownexpenseandasitsownresponsibilitycommunicationdevices,software,communicationcircuits,andanyothernecessaryitemsthatconstitutetheenvironmentfortheParticipanttotakepartintheAuctions.TheCompanyshallassumenoresponsibilityforanyimpactfromthedifficultiestheParticipantmayexperienceintakingpartintheAuctionsifsuchdifficultieshaveresultedfromtheaboveenvironment.Article5(Eligibility)AmongoverseasorJapanesesecond-handsalescompanies,repairbusinesses,tradingcompanies,andothersimilarbusinesseswhichhavesufficientexperienceinhandlingsecond-handconstructionmachinesandareequippedwithgeneralknowledgeconcerningsecond-handconstructionmachines,onlythecorporationsorsoleproprietorswhichhavebeenapprovedbytheCompanyʼsassessmentprocessshallbeeligibletoparticipateintheAuctions.Article6(RequestforRegistration)TheregistrationproceduresfortheParticipantshallbeasfollows:⑴AnapplicantshallfillinnecessaryfieldsintheParticipantRegistrationApplicationFormpreparedbytheCompany,agreetotheentirecontentoftheAgreements,submitnecessarydocumentstotheCompany,andtaketheprescribedmethodtorequestitsregistrationastheParticipant.Article7(Registration)①TheCompanyshallprovidethesuccessfulapplicantswiththeirregistrationnumber,passwordandothernecessaryinformation(hereinafter,the“RegistrationNumber”)forparticipatingintheAuctions.②SuccessfulapplicantswhohavenopasttransactionrecordwiththeCompanyshallberequiredtopaya500,000yendepositasasecuritydepositatthetimeofregistration.Article8(RenewalofParticipantRegistration)①ParticipantregistrationshallexpireasofMarch31eachyearregardlessofthejoiningdate.②TheCompanyshallreassesstheParticipantasoftheexpirydateofitsregistration.③ParticipantregistrationshallberenewedforanotheryearfortheParticipantwhofulfillstheassessmentcriteriaintheassessmentintheprecedingParagraph.AnapplicantmayalsomakeaParticipantregistrationapplicationfromtheCompanyʼswebsite.⑵Afterassessingapplicationdetails,theCompanyshallnotifytheresultstotheapplicant.TheCompanymayrefuseregistrationatitsdiscretion.
